Please read these Terms & Conditions carefully before using the Payzar platform. These terms govern your access to and use of all Payzar services.
1. Acceptance of Terms
By accessing or using the Payzar platform, website, APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms & Conditions. If you do not agree to all of these terms, you may not use the Service. These terms constitute a legally binding agreement between you (the "Merchant") and Payzar ("we", "us", or "our").
2. Description of Service
Payzar is a cryptocurrency payment gateway designed exclusively for merchants and businesses. The Service enables merchants to generate payment links, embed checkout buttons, and accept cryptocurrency payments from their customers. Payzar supports the following cryptocurrencies: Bitcoin (BTC), Ethereum (ETH), Tether (USDT), USD Coin (USDC), Internet Computer (ICP), and PZR — Payzar's native settlement token. All merchant settlements are issued exclusively in PZR. Payzar operates entirely on-chain using the Internet Computer blockchain, ensuring transparent and verifiable transaction records.
3. Eligibility
The Service is available exclusively to merchants, businesses, and other legal commercial entities. Consumer retail use — i.e., individuals using Payzar solely as a payment recipient for personal transactions — is not permitted. By using the Service, you represent and warrant that: (a) you are operating as a legally constituted business entity; (b) you have the legal authority to enter into these Terms on behalf of that entity; and (c) your use of the Service will comply with all applicable laws and regulations in your jurisdiction.
4. Account Registration
Payzar uses Internet Identity — a cryptographic, privacy-preserving authentication standard built on the Internet Computer — for account creation and access. You do not create a username or password. Instead, your account is tied to your Internet Identity principal, which acts as your unique, pseudonymous merchant identity on the platform. You are solely responsible for maintaining the security of your Internet Identity anchor and any associated devices. Any action taken through your account is considered authorized by you. Payzar will never ask for your Internet Identity recovery phrases or private keys. If you suspect unauthorized access to your account, you should immediately revoke device access via Internet Identity settings.
5. Payment Processing
Merchants create payment links or checkout embeds via the Payzar dashboard or API. Each payment link specifies an amount (in any supported cryptocurrency) and a receiving merchant address. When a customer opens a payment link, they are presented with a checkout page where they select their preferred cryptocurrency and complete the payment on-chain. Upon successful confirmation of the on-chain transaction, Payzar records the payment and initiates settlement in PZR to the merchant's Payzar account. Settlement times may vary based on blockchain confirmation requirements for each supported network. Payzar does not process fiat currency or traditional banking transactions.
6. PZR Token
PZR is the native settlement token of the Payzar platform, built on the Internet Computer. All merchant payouts are denominated and delivered in PZR, regardless of the cryptocurrency used by the customer at checkout. The total PZR supply is capped at 1 billion tokens, with 500 million initially minted. Only the Payzar platform owner has the authority to mint new PZR tokens within the defined supply cap. PZR has inherent price volatility and its value relative to other cryptocurrencies or fiat currencies may fluctuate significantly. Payzar is not responsible for any gains or losses arising from changes in the PZR exchange rate. Merchants who wish to convert PZR to another cryptocurrency may do so via the Settlements page using the integrated swap functionality. Payzar makes no guarantees regarding liquidity or exchange rates for PZR swaps.
7. Fees
Transaction fees apply to all payments processed through Payzar. The applicable fee rate depends on the merchant's subscription tier (Basic, Pro, or Enterprise) as displayed on the pricing page. Fees are calculated as a percentage of each settled payment and are deducted automatically at the time of settlement in PZR. Payzar reserves the right to modify fee structures at any time, provided that merchants are notified with at least 14 days advance notice. Continued use of the Service after a fee change takes effect constitutes acceptance of the new fees. Enterprise tier pricing is negotiated individually and may differ from standard published rates.
8. Prohibited Uses
You may not use Payzar for any of the following purposes: (a) fraudulent transactions, money laundering, or any other financial crimes; (b) facilitating illegal activities including but not limited to drug trafficking, weapons dealing, or human trafficking; (c) accepting payments from or making payments to individuals or entities located in jurisdictions subject to international sanctions (OFAC, EU, UN); (d) processing payments related to gambling, adult content, or other regulated industries without appropriate legal authorization; (e) reverse engineering, scraping, or attempting to gain unauthorized access to the platform or its underlying infrastructure. Violation of these prohibitions may result in immediate account suspension, fund freezing, and reporting to relevant authorities.
9. Intellectual Property
The Payzar platform, including its software, design, branding, APIs, documentation, and all related intellectual property, is owned exclusively by Payzar and protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Payzar platform beyond the limited license to use the Service as a merchant. Merchants retain full ownership of their own business data, including customer information, transaction records, and custom integrations created by the merchant. You grant Payzar a limited, non-exclusive license to process and store your merchant data solely for the purpose of providing the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYZAR AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. THE PAYZAR PLATFORM OPERATES ON-CHAIN AND BLOCKCHAIN TRANSACTIONS ARE IRREVERSIBLE; PAYZAR ACCEPTS NO LIABILITY FOR MISDIRECTED PAYMENTS OR TRANSACTIONS EXECUTED IN ERROR. IN NO EVENT SHALL PAYZAR'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF FEES PAID BY YOU TO PAYZAR IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with internationally recognized principles of commercial law. Given the decentralized and international nature of the Payzar platform, any disputes arising from or related to these Terms shall be resolved through binding arbitration administered under the rules of a mutually agreed-upon arbitration body. Each party shall bear its own costs unless the arbitrator determines otherwise. You waive any right to participate in class-action proceedings against Payzar. If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
12. Changes to Terms
Payzar reserves the right to modify these Terms & Conditions at any time. When changes are made, we will update the "Last Updated" date at the top of this page. For material changes, we will notify active merchants via email or through an in-dashboard notice at least 14 days before the changes take effect. Your continued use of the Service following the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must discontinue using the Service.
